General Terms of Sale

Technical consulting

Software architecture, security, performance and technical support consulting. Indicative rate: from EUR 800 excl. VAT/day.

Security audit

OWASP Top 10 audits, vulnerability analysis, detailed report with remediation plan. Indicative rate: from EUR 1,500 excl. VAT.

Custom development

Web application, API, and automation design and development. Quote on request.

3. Quotes and orders

• All services are subject to a free prior quote.
• Quotes are valid for 30 days from their date of issue.
• The order is deemed firm upon receipt of the signed quote accompanied, where applicable, by the agreed deposit.

4. Pricing and payment

• Billing: Monthly or upon delivery depending on the service.
• Payment terms: 30 days from the invoice date.
• Payment methods: Bank transfer, Stripe (credit card).
• Late penalties: In case of late payment, penalties will be applied at the legal rate in force, in accordance with Article L441-10 of the French Commercial Code.
• Fixed compensation: A fixed compensation of EUR 40 for recovery costs is due in case of late payment (Article D441-5 of the French Commercial Code).

5. Service delivery

• Services are performed remotely unless otherwise agreed.
• Delivery times are indicative and do not constitute a firm commitment, unless expressly stated in the quote.
• The client commits to providing the access, information and documents necessary for proper service execution.

6. Intellectual property

Unless otherwise stated in the quote, deliverables developed as part of the service are transferred to the client upon full payment. Internal tools, libraries and frameworks remain the property of OmniRealm.

7. Confidentiality

Each party undertakes not to disclose the other party's confidential information. This obligation persists for 2 years after the end of the service.

8. Liability

• OmniRealm is subject to a best-efforts obligation, not a results obligation.
• OmniRealm's liability is limited to the total amount of the relevant service.
• OmniRealm cannot be held liable for indirect damages (data loss, revenue loss, reputational harm).

9. Termination

• Either party may terminate the contract in case of serious breach by the other party, after formal notice remaining without effect for 15 days.
• In case of termination by the client during service delivery, completed work remains due.

10. Personal data

Personal data processing is governed by our Privacy Policy, GDPR compliant.

11. Applicable law and disputes

These terms are governed by French law. In case of dispute, an amicable solution will be sought first. Failing that, the courts of La Roche-sur-Yon shall have jurisdiction.
